1. Acceptance and scope

These Terms and Conditions govern use of the Newbery International LLC website. By using the website, you agree to these terms. If you do not agree, do not use the website.

These website terms do not replace a signed engagement agreement. When an engagement exists, the engagement agreement controls the professional services provided.

2. General information—not professional advice

Website content is provided for general informational and educational purposes. It is not tax, accounting, legal, investment or other professional advice and is not a recommendation for any particular person, transaction or jurisdiction.

Tax laws and administrative guidance change, and outcomes depend on individual facts. Do not act or refrain from acting solely because of website content. Obtain advice appropriate to your circumstances.

3. No professional-client relationship

Viewing the website, submitting a form, sending an email, booking an appointment or participating in an introductory call does not create a professional-client relationship. An engagement begins only after Newbery International and the client accept and sign an engagement agreement and any required onboarding is complete.

Until an engagement is confirmed, Newbery International has no duty to provide services, monitor deadlines or protect a visitor’s interests in a particular matter.

4. Communications and confidential information

General forms, ordinary email and booking notes are not intended for Social Security numbers, tax returns, financial account details or other confidential records. Use the designated secure client portal or file-transfer service when instructed.

Electronic communications can be delayed, intercepted or misdirected. Contact Newbery International if a time-sensitive message has not been acknowledged.

5. Appointments and availability

Website availability does not guarantee that Newbery International will accept an engagement. Appointments may be administered by third-party scheduling, calendar and video-meeting services. You are responsible for providing accurate contact information and using the cancellation or rescheduling process supplied with the confirmation.

Online meeting links are intended for the booked participants and should not be published or shared unnecessarily.

6. Acceptable use

You may not misuse the website, attempt unauthorized access, interfere with operation, introduce malicious code, submit unlawful or misleading material, impersonate another person, scrape the website at unreasonable volume, or use website content in a way that infringes another party’s rights.

7. Intellectual property

Unless otherwise stated, website text, design, graphics, branding and original materials are owned by or licensed to Newbery International LLC and are protected by applicable intellectual-property laws. You may view and print reasonable extracts for personal, non-commercial use. Other reproduction, republication or distribution requires prior written permission.

8. Third-party websites and services

The website may link to TaxDome, FluentBooking, Microsoft, Zoom, secure file-transfer providers and other third parties. Newbery International does not control third-party services and is not responsible for their content, availability, security or privacy practices. Your use of those services is subject to their own terms.

9. Availability, disclaimers and liability

The website is provided on an “as available” basis. To the fullest extent permitted by law, Newbery International disclaims warranties concerning completeness, accuracy, uninterrupted availability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, Newbery International will not be liable for indirect, incidental, special, consequential or punitive loss arising from website use, inability to use the website, reliance on general content, or third-party services. Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Governing law

These website terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where mandatory law provides otherwise. Any dispute relating solely to website use will be handled in a court of competent jurisdiction in Colorado, subject to applicable mandatory rights.

These terms may be updated from time to time. Continued use after an update means the revised terms apply from the effective date shown on this page.
